1. Who you are contracting with

Orchidist (the "Service") is operated by Gamechangers Consulting LLC ("we", "us", "our"). By creating an account or using the Service you ("you", "user") enter into a binding agreement with Gamechangers Consulting LLC.

2. Acceptance

By accessing or continuing to use the Service you agree to these Terms & Conditions. If you do not agree, you must stop using the Service.

3. The Service

Orchidist helps you discover, identify, and care for orchids. Free features include the orchid library and care guides. Paid Pro features include AI-powered identification, personal collection tracking, and care reminders. Features may evolve over time.

4. Your account

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be old enough to form a binding contract in your jurisdiction.

5. Acceptable use

You must not, and must not permit anyone else to:

  • use the Service unlawfully, fraudulently, or to send spam;
  • infringe the intellectual property or privacy rights of others;
  • upload malware, probe for vulnerabilities, scrape, or otherwise interfere with the Service's security or integrity;
  • reverse engineer, resell, or redistribute the Service or its outputs;
  • circumvent any technical limits, rate limits, or access controls.

6. Intellectual property

The Service, including its software, content, design, and branding, is owned by Gamechangers Consulting LLC or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose within your selected plan. All other rights are reserved.

7. User content

You retain ownership of photos, notes, and other content you upload. You grant us a limited license to host, store, and process that content solely to provide the Service to you. You are responsible for having the rights to any content you upload.

8. AI identification

Identification results are generated by AI models and may be inaccurate. They are provided for general informational purposes only and should not be relied upon for decisions that require professional botanical, medical, or veterinary advice. You are responsible for verifying outputs before acting on them.

9. Payments, billing, and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Subscriptions renew automatically at the end of each billing period until canceled. You can cancel at any time from your account; access continues until the end of the paid period.

10. Service availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

11. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the amounts you paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence where such limitation is prohibited by law.

12. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, the licenses granted to you cease, and we may delete your account data after a reasonable retention period.

13. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service. Continued use after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms or the Service will be resolved exclusively in the state or federal courts located in Florida, and you consent to their personal jurisdiction.
